Overview

Andrew Arbuckle is an associate in the Kansas City office of Stinson LLP and is a member of the firm's Corporate Finance Division.

Andrew's practice covers a variety of general corporate and transactional matters, including corporate governance, public and private offerings of equity and debt securities, restructurings and mergers & acquisitions. His practice has an emphasis on advising corporate directors and senior management on practical, value-maximizing strategies as well as regulatory and disclosure requirements, including Securities and Exchange Commission (SEC) and stock exchange compliance.

Andrew routinely supports clients in preparing proxy statements, earnings releases, conducting annual and special stockholder meetings, filing current and periodic reports (Forms 10-K, 10-Q and 8-K) and Section 16 reporting requirements relating to beneficial ownership and insider trading.

Prior to joining the firm, Andrew's experience ranges from ITAR and international trade compliance for a publicly traded multi-billion-dollar industrial conglomerate specializing in commercial and defense aerospace applications, entrepreneurial ecosystem support organizations and venture capital fund management and investments.

Public Companies, Securities & Capital Markets

Rule 144A / Regulation S offering of $700 million aggregate principal amount of high-yield senior notes and concurrent $600 million cash tender offer for existing senior notes for an integrated transportation services company operating short line railroads and ports in the United States, Australia, Canada and Mexico.

Voluntary delisting and deregistration of securities to terminate a NYSE-listed company’s Exchange Act and stock exchange reporting obligations (the process often referred to as “going dark”).

Section 13 and Section 16 Beneficial Ownership reporting compliance, including Schedule 13D advising in connection with unsolicited bids.

Restructuring

Amend-and-extend liability management transaction restructuring of a $240 million syndicated credit facility for an American television and radio broadcasting corporation.

Post-bankruptcy restructuring and exit-financing for a real estate investment trust (REIT) that owns and operates regulated crude oil pipelines.

Mergers & Acquisitions

Acquisition of a casino and internet gambling operator by a publicly traded, multi-jurisdictional gaming company.

Sale of a private equity backed national commercial landscaping services platform and numerous acquisitions of commercial landscaping firms.
