Overview

Jack advises privately held businesses on a broad range of corporate and transactional matters, with much of his practice devoted to mergers and acquisitions. He has experience representing clients in private equity transactions, strategic acquisitions, and auto and truck dealership transactions, providing support from initial structuring through closing.

In addition to mergers and acquisitions, Jack advises business owners and management teams on corporate governance, entity structuring, and general business matters. He focuses on understanding each client’s objectives and delivering practical solutions, from day-to-day counseling and commercial agreements to supporting businesses through complex reorganizations, including prior work on employee stock ownership plan (ESOP) transactions.

Advised on numerous multi-million-dollar automotive and truck dealership sales and acquisitions, including drafting and negotiating agreements and coordinating deal management through closing.

Assisted a national industrial painting and restoration contractor in its multi-million-dollar sale to a private investment firm.

Counseled a national specialty building products supplier in its multi-million-dollar sale to one of the world’s largest private equity firms.

Advised a national industrial tool supplier in its multi-million-dollar sale to a private equity firm.

Counseled a national electrical contracting firm in multi-million-dollar acquisitions and corporate reorganizations, while providing ongoing support on governance and acquisition matters.

Structured complex governance frameworks and entity formations and drafted organizational documents addressing ownership transitions and related succession planning considerations.
