Greg assists clients on transactions involving bank regulatory and compliance matters, payments systems, general corporate law, and mergers and acquisitions.

Greg represents banks and FinTech companies in transactional and regulatory matters. He has broad experience across a number of practice areas with a focus on FinTech and bank regulatory matters. Greg was named to the 2023 Best Lawyers in America© "One to Watch" list.

Experience

Financial Products

Advises banks and FinTech companies in the launch and implementation of programs. This experience includes the preparation and negotiation of program agreements and research and advice regarding money transmitter licensing issues, ACH and card network rules, and other financial product laws (such as Reg. E, Reg. Z., and cannabis laws). In connection with these programs, Greg works on many vendor agreements and consumer-facing materials, including account and cardholder agreements. Greg's experience includes advising issuing banks and payment processors relating to prepaid cards, legalized cannabis transactions and other payment products. Greg serves as co-chair of Stinson's FinTech, Payments and Financial Products practice group.

Corporate Transactions

Represents financial institutions and other companies in mergers, acquisitions and capital raises/securities offering. Many of these transactional matters are announced publicly. Greg also has vast experience in preparing shareholder agreements and other organizational documents. He often advises clients regarding bank and bank holding company regulatory issues, such as insider loans under Reg. O, affiliate transactions under Reg. W., and change of control issues under Reg. Y.

Lending

Represents lenders and borrowers in bilateral and syndicated credit transactions and financings. This experience includes drafting and negotiating the credit agreement and collateral documents. In some cases, he will review syndicated documents on behalf of a participant bank. Greg also acts as local counsel on primarily out-of-state credit transactions.
