Overview

Rob offers significant experience in commercial real estate transactions, commercial real estate finance, renewable energy project finance, commercial leasing and secured lending. Rob represents large national financial institutions, regional lenders, renewable energy developers, commercial real estate developers, retail tenants and landlords, Community Improvement Districts (CIDs), and privately held companies. Rob applies his background as in-house counsel at a large national company to assist his clients in resolving legal issues that may not otherwise have been identified Rob particularly enjoys connecting clients with others in his network to help businesses meet their goals.

Rob is committed to pro bono work, where he has represented clients in matters ranging from structuring and implementing a fund to inject capital into underserved St. Louis, Missouri neighborhoods, developing a loan program to restore homes in St. Louis, Missouri, defending indigent clients against criminal charges as part of the Missouri Coalition for the Right to Counsel, researching human rights issues, providing general counsel to nonprofits, and assisting individuals form and operate for profit and nonprofit businesses.

Experience

Commercial Real Estate

Represents property owners, developers and investors in the purchase, sale, financing and development and leasing of commercial properties all over the country, including acquisition and development of retail, multi-family residential, and mixed-use properties, retail and gas stations.

Represents lenders on construction and term financing of office buildings, multi-family apartment complexes, warehouses, distribution centers, mixed use commercial assets, marinas and cannabis facilities.

Represents landlords and tenants in commercial office leases and retail leases, including specialty operators including fitness studios, medical offices and health spas.

Renewable Energy - Real Estate and Finance

Serves as lead counsel to national renewable energy lenders in financing the construction of commercial and utility grade renewable energy generation projects ranging from 1MW to 20MW in size, as well as energy-efficiency projects, located in New York, California, Illinois, Oregon, Pennsylvania, North Carolina, Florida, Maryland, Hawaii and American Samoa totaling over $250 million in financing. The lenders finance a mix of utility scale and community solar projects, including ground mount and rooftop projects.

Serves as lead outside counsel to a national renewable energy developer in site control and pre-development real estate matters, including negotiating with utilities and landlords.

Represents landowners and developers in the negotiation of options and leases for renewable energy projects.

Represents clients in project level construction financing, including the structuring of the projects for tax equity investment and debt finance, as well as the negotiation and closing of complex credit facilities for the development of multiple projects.

Negotiates leases and site control documents for renewable energy projects by representing landlords and renewable energy developers.

Commercial Lending

Represents banks in financing business acquisitions and other general commercial financing including lines of credit for working capital, small and middle market mergers and acquisitions, and asset-based C&I loans.

Cannabis Business Finance

Represents lenders providing the operation of cannabis businesses with working capital through debt, sale-leasebacks and ground lease financing structures. Rob advises on applicable collateral packages for debt-financing and works closely to determine how cannabis licenses can affect loan collateral.
