Overview
Spencer is an associate in the Vorys Columbus office and a member of the firm’s finance group. Her practice is primarily focused on commercial finance matters, representing both lenders and large corporate borrower clients in a variety of secured and unsecured financing transactions including syndicated facilities, asset-based lending facilities, acquisition financings, leveraged ESOPs, securitizations and mezzanine financings.
In addition, Spencer regularly represents financial institutions and corporate end-users—including public companies, manufacturing companies and retailers—in connection with derivative transactions under the ISDA Master Agreement and its related suite of documents, including drafting and negotiating related Schedules and Credit Support Annexes, and related regulatory matters under Title VII of Dodd-Frank.
Notable experience includes:
- Advising Victoria's Secret & Co. and its material subsidiaries in connection with the renewal and extension of its $750 million syndicated, multi-currency asset-based credit facility
- Advising Myers Industries, Inc. in connection with a $400 million incremental term loan as part of its acquisition of Signature Systems
- Regularly representing a regional bank in connection with its derivatives activities, including regularly negotiating ISDA Master Agreements and other related documents and providing recurrent regulatory advice in respect of a variety of matters under Dodd-Frank
Spencer was a judicial extern for the Honorable Magistrate Judge Kimberly Jolson of the United States District Court for the Southern District of Ohio and Justice Michael P. Donnelly of the Supreme Court of Ohio.
Spencer received her J.D. cum laude from The Ohio State University Moritz College of Law, where she was the symposium editor of the Ohio State Law Journal. She was also a recipient of the Eminent Scholar Award. She earned her B.A. summa cum laude in psychology with a minor in business from Miami University.
