Overview

Mychal is an associate in the Vorys Washington, D.C. office and a member of the finance, energy and real estate group.  His practice focuses on real estate finance and commercial development.  Mychal has significant experience with affordable housing and Low-Income Housing Tax Credit (LIHTC) transactions.  He regularly assists developers in structuring and closing LIHTC deals and supports all phases of the transaction, from early-stage planning through final closing.  He also reviews LIHTC applications and prepares supporting materials, such as PILOT request letters.

Mychal has considerable experience representing developers in the residential (both nonprofit and commercial), data center and retail industries.

He has extensive experience drafting and negotiating joint venture agreements, loan documents, ground leases, pre-development agreements, assumption and contribution agreements, asset management agreements, right-of-first refusal agreements and service contracts.  Mychal has experience preparing the full suite of entity-level corporate documentation, including operating agreements, amended and restated limited liability company agreements (including upper-tier investor negotiations), resolutions and assignment of option agreements.  He has drafted and negotiated additional deal-related instruments such as deeds of trust, guarantee agreements, estoppel certificates, amendments to restrictive covenants and release of covenant agreements.

Career highlights include:

  • Advising a nonprofit organization in connection with the post-Year 15 acquisition of an LIHTC property, drafting membership interest transfer agreements and coordinating required approvals from original project lenders, including HUD, state housing finance agencies and the Federal Home Loan Bank.
  • Supporting numerous data center development clients, including drafting and negotiating purchase and sale agreements, utility and access easements, farm leases, funding agreements and termination of agricultural leasehold interests. He also managed document flow and coordinated with title companies, surveyors and external counsel to ensure smooth closings across multiple project sites.
  • Supporting national retail clients in connection with commercial leasing matters, reviewing and analyzing retail leases and subleases as part of broader site acquisition and property evaluation efforts, particularly in transactions where leasehold interests formed a key component of a company’s real estate portfolio.

Mychal received his J.D. from Howard University School of Law and his B.A. cum laude in telecommunications from Alabama A&M University.

Military Service

Mychal served as a captain in the United States Army in the Adjutant General’s Corps, where he held key leadership and administrative roles at Eighth Army Headquarters in South Korea and at Walter Reed National Military Medical Center, located on the Naval Support Activity Bethesda installation.
