Overview

Jared has extensive experience guiding clients through M&A transactions and venture capital investments, including complex mergers, stock acquisitions and asset dispositions. He also represents venture capital funds and other investors making strategic investments in emerging growth companies and advises emerging growth companies in their capital-raising activities.

Jared has also advised publicly-traded companies on corporate governance and securities matters with regard to insider trading, Section 16 reporting, and New York Stock Exchange (NYSE) listing standards, as well as the preparation of annual proxy statements and Exchange Act reports.

Jared also counsels Farm Credit System institutions, commercial banks, and equipment leasing companies in loan transactions and equipment and facility lease transactions.

Prior to joining Stinson, Jared served as vice president and assistant general counsel for an NYSE-listed bank holding company where he provided legal guidance to the bank's executive management and operational teams on matters ranging from corporate governance and securities to banking regulations and lending. Jared's past experience also includes working for the Colorado Division of Securities where he oversaw state-level securities registration and assisted in drafting the Colorado Crowdfunding Act.

Jared also donates his time and talents to small businesses through the Small Business Legal Assistance Program, which provides small businesses with one hour of free legal assistance to answer questions on a range of legal issues, including real estate, contracts, employment and bankruptcy.
