Overview

Selena serves as outside general counsel to regulated entities, privately held businesses, nonprofits, and domestic and foreign investors. In this role, she provides continuity across her clients' contracts, business divisions, and third-party relationships.

Selena also assists clients in assessing opportunities and structuring their investments, programs, and products. She handles acquisitions and divestitures, financings, strategic ventures, and partnerships.

Selena's clients operate in a diverse range of industries, including banking, financial services, insurance, healthcare, energy, mining, and technology.

Prior to joining private practice, Selena interned at the Federal Trade Commission (FTC) and taught English in Hong Kong. She is a private pilot with a VFR rating and is ASA certified in Basic Keelboat Sailing.

Experience

Outside General Counsel

  • Serves as outside general counsel for several community banking organizations, assisting with regulatory compliance, corporate governance, and operational matters
  • Serves as outside general counsel for a large nonprofit healthcare insurance company. Selena handles all contracts and transactional matters and leverages her internal network of subject matter experts as needed.
  • Served as outside general counsel for an electric cooperative, managing the negotiation of all third-party contracts.
  • Served as outside general counsel for various mining companies, assisted with contract negotiations, procurement and other operational matters.

Banking and Financial Services

  • Assists community banks in mergers and acquisitions, capital raises, conversions, shareholder matters, and contract negotiations.
  • Represents banks and non-bank lenders (and borrowers) in secured financing transactions, including commercial lines of credit, agricultural loans, and project finance.
  • Represents a bankers' bank in developing and managing its customer products, including correspondent services, analytics solutions, and swap agreements.
  • Assists a national bank in developing, managing and expanding its specialty finance division for CRA loan products.

Contracts

  • Negotiates vendor agreements, both mission critical and miscellaneous.
  • Assists clients in developing form agreements for frequent use in their business operations.
  • Navigates and develops complex, unique and special-purpose contracts supporting business operations and product development.
  • Drafts and manages organizational constituent documents, restructurings and affiliate transactions.

International

Advises foreign clients in analyzing, structuring, and negotiating investments in the United States, and assists U.S. clients with managing their international investments and operations. Selena is well-connected in Canada and Mexico, and also has experience with Europe, Asia, Centeral America, and Africa. Selena is uniquely suited to this role because she is a former exchange student (AFS-Hong Kong 1997-1998), taught English in Hong Kong, and also lived abroad in Argentina.
