Auge Quoted in Communications of the Association for Computing Machinery Article Titled “Avoiding the Pitfalls of Electronic Contracts”

Craig Auge, a partner in the firm’s Columbus office and a member of the firm’s technology and commercial transactions practice, was quoted in a Communications of the Association for Computing Machinery article about the complexity of electronic contracts. 

He cited the layered nature of technology contracts, which incorporate multiple sets of terms and conditions into an overarching agreement.  The article states:

“More than most industries, technology [agreements] feature what I call the ‘link and layer’ contract [approach], the phenomenon of an agreement that is multilayered, pulling in various terms and conditions into one overall agreement,” said Craig Auge, a partner with law firm Vorys. “Whether you’re buying software, platform services, AI tools, coding tools, cloud services or whatever, there are many critical parts of a technology agreement that you need to understand.”

In the article, Auge warns that most linked documents, even if they seem irrelevant, are a part of the overall agreement.
